By registering, using an affiliate code, or accepting a commission, you agree to them. Please read them — in particular, you are responsible for the content you post and you may only use images, video, audio, and likenesses you own or have written permission to use.


Affiliate Program Terms and Conditions

These Affiliate Program Terms and Conditions (the "Affiliate Terms") are a binding agreement between you ("you," "your," or "Affiliate") and Glo Melanin ("we," "us," or "our"). By applying to, enrolling in, or participating in the Glo Melanin affiliate or ambassador program (the "Program"), by using an affiliate code or link, or by accepting any commission, you agree to these Affiliate Terms and to our Terms of Service and Privacy Policy, each of which is incorporated by reference. If you do not agree, do not participate in the Program.

1. Independent Contractor Status

You are an independent third party. Nothing in these Affiliate Terms creates an employment, agency, partnership, joint venture, or franchise relationship between you and Glo Melanin. You have no authority to make any statement, representation, warranty, promise, or commitment on our behalf, to bind us in any way, or to hold yourself out as our employee, agent, or spokesperson. You are solely responsible for your own taxes, expenses, and legal compliance.

2. Your Content and Advertising

You are solely responsible for all content you create, publish, distribute, sponsor, or pay for in connection with the Program ("Affiliate Content"), and for the platforms, accounts, and advertising channels you use. We do not create, pre-approve, review, control, or monitor Affiliate Content, and our failure to object to any Affiliate Content is not approval of it.

You represent, warrant, and agree that all Affiliate Content:

  • is created by you, or is content you own or have a valid, written, and current license or release to use for commercial advertising purposes;
  • does not use any photograph, video, audio, music, name, voice, image, likeness, persona, testimonial, trademark, logo, or copyrighted work of any person or entity without their express written permission, including any clip, footage, screenshot, or image sourced from social media, stock sites, search results, or any third party;
  • includes clear and conspicuous disclosure of your material connection to Glo Melanin as required by the U.S. Federal Trade Commission's Endorsement Guides and any other applicable law, in the content itself and not only in a bio, profile, or link;
  • reflects your honest, actual experience with the products, and makes no claim about results, ingredients, safety, or efficacy that we have not published ourselves;
  • makes no medical, therapeutic, curative, diagnostic, or disease-treatment claim, and no claim that our products treat, prevent, or cure any condition;
  • uses no fabricated, incentivized, purchased, or misattributed review, testimonial, or before-and-after image;
  • complies with all applicable laws and regulations, including advertising, consumer protection, endorsement, privacy, right-of-publicity, intellectual property, anti-spam (including CAN-SPAM), and telemarketing laws; and
  • complies with the terms, policies, and advertising rules of every platform on which it appears.

You may not bid on our brand terms in paid search, impersonate Glo Melanin or any of our accounts, register domains or social handles containing our marks, post codes on coupon or deal sites, distribute codes by unsolicited email or SMS, or use spam, bots, malware, cookie stuffing, or any deceptive traffic-generation method.

3. Indemnification

You agree to indemnify, defend, and hold harmless Glo Melanin and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, investigations, liabilities, losses, damages, judgments, settlements, fines, penalties, costs, and expenses of any kind, including reasonable attorneys' fees and the costs of investigation and defense (collectively, "Claims"), arising out of or relating in any way to:

  • any Affiliate Content you create, publish, distribute, sponsor, or pay for, or the removal of it;
  • any allegation that Affiliate Content infringes, misappropriates, or violates any copyright, trademark, trade secret, patent, moral right, right of privacy, right of publicity, or other right of any person or entity, including any unauthorized use of a person's image, likeness, voice, name, or performance;
  • any false, misleading, deceptive, unsubstantiated, or non-compliant advertising claim, or any failure to make a required disclosure;
  • your breach of these Affiliate Terms, our Terms of Service, or any representation or warranty you make in them;
  • your violation of any applicable law, regulation, or platform rule; or
  • your acts, omissions, negligence, or willful misconduct in connection with the Program.

We will notify you of any Claim for which we seek indemnification, though our failure to notify you promptly does not relieve you of your obligations except to the extent you are materially prejudiced by the delay. We reserve the right, at your expense, to assume the exclusive defense and control of any Claim subject to indemnification by you, and you agree to cooperate fully with our defense at your own cost. You may not settle any Claim in a way that imposes any obligation, payment, admission of fault, or restriction on any Indemnified Party without our prior written consent.

Offset and recovery of commissions. In addition to every other remedy available to us, we may withhold, suspend, reduce, offset, cancel, or recover any commission, payment, bonus, product credit, or other compensation owed to you or already paid to you, in whole or in part, and apply it toward any Claim, loss, cost, chargeback, refund, or expense covered by this Section 3 or otherwise arising from your breach. If the amounts available to offset do not fully cover our costs, you remain liable for the balance and agree to pay it on demand. We may withhold payment of commissions during any period in which we are investigating a complaint, claim, or suspected violation involving you.

This Section 3 survives the termination or expiration of these Affiliate Terms and your participation in the Program, and applies regardless of whether the Claim is brought against us alone or against us together with you.

4. Limitation of Our Liability

To the fullest extent permitted by applicable law, the Indemnified Parties are not liable to you for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost commissions, lost revenue, or lost opportunity, arising out of or relating to the Program. Our total aggregate liability to you for any claim relating to the Program will not exceed the total commissions actually paid to you by us in the three (3) months immediately preceding the event giving rise to the claim.

5. Commissions

Your custom code offers 15% off to anyone who uses it, and you earn a 10% commission on qualifying sales made with it. Commissions are calculated on the net product subtotal, excluding taxes, shipping, discounts, and fees, and are not earned on orders that are cancelled, refunded, charged back, fraudulent, self-purchased, or placed in violation of these Affiliate Terms. We may adjust commission rates, discount amounts, payout schedules, and Program structure at any time on notice, including by posting the change on this page.

6. Compliance, Takedowns, and Termination

If we receive a complaint about your Affiliate Content, or if we believe in our sole discretion that it violates these Affiliate Terms or any law or platform rule, you agree to remove or correct the content promptly, and in any event within twenty-four (24) hours of our request, and to confirm removal to us in writing. We may suspend or terminate your participation in the Program, disable your code, and forfeit unpaid commissions at any time, with or without cause and with or without notice. You may leave the Program at any time, but you remain responsible for content you have already published and for your obligations under Sections 1 through 4, which survive termination.

7. General

These Affiliate Terms are governed by and construed in accordance with the laws of the United States, consistent with our Terms of Service, and are subject to the dispute resolution, mandatory binding arbitration, and class action waiver provisions of our Terms of Service. If any provision is held unenforceable, the remaining provisions stay in effect. These Affiliate Terms, together with the documents they incorporate, are the entire agreement between you and us regarding the Program. We may update these Affiliate Terms at any time by posting a revised version on this page, and your continued participation after posting constitutes acceptance.
